Agreement to Terms

Welcome to ZonPapers ("we," "us," "our," or "Company"). These Terms and Conditions ("Terms") govern your access to and use of our website www.zonpapers.com (the "Site"), including any purchases of products (customized notebooks, diaries, calendars, copier paper, and related stationery items), services, or interactions with ZonPapers. By accessing the Site, placing an order, or otherwise engaging with our business, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or services.

These Terms constitute a legally binding agreement between you ("User," "Customer," "Client") and ZonPapers (ZONZEM ENTERPRISES). We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Important: These Terms apply to all users, including visitors, customers, distributors, and business partners. Additional policies (Privacy Policy, Shipping Policy, Cancellation & Refund Policy) are incorporated by reference.

Eligibility & Use of Website

By using this Site, you represent and warrant that:

You are at least 18 years of age or accessing the Site under parental/guardian consent.
You have the legal capacity to enter into binding contracts.
You will not use the Site for any unlawful or prohibited purpose, including but not limited to violating intellectual property rights, transmitting malware, or interfering with security features.
You will provide accurate, current, and complete information when placing orders or contacting us.

ZonPapers reserves the right to refuse service, terminate accounts, or cancel orders at our discretion, including suspected fraud, unauthorized reselling, or violation of these Terms.

Orders, Customization & Pricing

Customization Process

ZonPapers specializes in fully customized paper products (notebooks, diaries, calendars, etc.). Customization includes size, page count, paper GSM, cover design, binding type, foil stamping, branding/logos, and packaging. All custom orders require:

Approval of a digital proof or physical sample before mass production.
50% advance payment for custom jobs (unless otherwise agreed in writing).
Clear client-provided artwork (vector files preferred). ZonPapers is not liable for errors in client-supplied artwork.

Pricing & Quotations

All prices quoted are in Indian Rupees (INR) and exclusive of GST, shipping, and applicable taxes unless stated otherwise. Quotations are valid for 15 days from the date of issue. ZonPapers reserves the right to adjust pricing due to raw material cost fluctuations, design changes, or order quantity modifications. For bulk inquiries (500+ units), contact our sales team for custom pricing.

Order Acceptance

Order confirmation via email or invoice constitutes acceptance of your order. We reserve the right to cancel any order due to stock unavailability, payment issues, or suspected fraudulent activity. You will be notified promptly and refunded if applicable.

Shipping & Delivery Terms

ZonPapers ships across India and internationally (subject to customs and regulations). Delivery timelines are estimated and not guaranteed, as production and shipping may be affected by force majeure events, courier delays, or peak seasons.

Domestic Shipping: Typically 5-10 business days after production completion. Tracking details provided via email/SMS.
International Shipping: 15-25 business days (depending on destination). Import duties, taxes, and customs clearance are the buyer's responsibility.
Risk of Loss: Title and risk of loss pass to you upon delivery to the carrier. ZonPapers is not liable for carrier delays or mishandling.
Please inspect all packages upon delivery and report any damage or discrepancy within 48 hours.

Returns, Cancellations & Refunds

Cancellations

Standard product orders may be canceled within 24 hours of order placement without penalty. Customized orders cannot be canceled once production has commenced or sample approval is confirmed. Cancellation fees (up to 25%) may apply for work-in-progress orders.

Returns & Refunds

Due to the customized nature of our products, returns are accepted only for manufacturing defects or incorrect items shipped. Clients must notify us within 3 days of delivery with photographic evidence. Approved returns will be replaced or refunded (prorated). We do not accept returns for change of mind, design preferences, or minor color variations (as screen displays vary). Refunds are processed within 10-15 business days after quality inspection.

Note: Sample orders are non-refundable but can be applied toward bulk order value.

Intellectual Property Rights

All content on the ZonPapers website, including text, graphics, logos, product images, brochures, and marketing materials, is the exclusive property of ZonPapers or its content suppliers and is protected by Indian and international copyright laws. You may not reproduce, distribute, modify, or exploit any content without prior written consent.

Any client-provided logos, designs, or trademarks remain the property of the client. ZonPapers does not claim ownership of client intellectual property and will use it solely for manufacturing the ordered products. Clients warrant that they have all necessary rights to any artwork or branding provided.

Limitation of Liability

To the maximum extent permitted by law, ZonPapers and its directors, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption arising from:

Use or inability to use our website or products.
Delays in production or shipping due to force majeure (natural disasters, labor disputes, supply chain disruptions, government actions).
Errors in client-supplied artwork or specifications.
Third-party carrier performance.

In any event, ZonPapers' total aggregate liability shall not exceed the amount paid by you for the specific product giving rise to the claim. Some jurisdictions do not allow certain liability exclusions, so this may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless ZonPapers, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising out of or related to:

Your violation of these Terms.
Your infringement of any third-party rights, including intellectual property.
Any content or artwork you provide that violates applicable laws.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your relationship with ZonPapers shall first be attempted to be resolved through good-faith negotiations. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts in Tenkasi District, Tamilnadu, India.

For international clients, you agree to submit to the jurisdiction of Indian courts and waive any objection based on inconvenient forum.

Force Majeure

ZonPapers shall not be liable for any delay or failure to perform obligations due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, fire, floods, labor strikes, raw material shortages, or supplier failures. In such events, we will notify you and extend delivery timelines reasonably.

Severability & Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by ZonPapers.

Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and any order-specific invoices or agreements, constitute the entire agreement between you and ZonPapers regarding your use of the Site and purchase of products. They supersede any prior or contemporaneous communications, whether oral or written.
